DARTMOUTH ? If you are planning to start a small business or nonprofit organization, the Community Development Clinic (CDC) at the University of Massachusetts School of Law ? Dartmouth may be able to help.
Clinic officials said in a news release that CDC Student Attorneys ?can provide assistance in deciding the type of organization to form and drafting formation documents and filings.?
Services are provided free, but clients are responsible for any local, state or federal filing fees. Program services get under way when the law school's Spring Semester begins on Jan. 9, 2012.
Student Attorneys are upper level law students working under the close supervision of licensed Massachusetts attorneys. The clinic offers law students the opportunity to work with actual clients while honing their lawyering skills. Services are limited to non-litigation matters and projects that provide suitable learning opportunities for law students.
Historically, the CDC has focused on nonprofit organizations, but services are available beginning this month for entrepreneurs seeking to form small businesses. Student Attorneys will help small business clients consider the best form for the business ? corporation, limited liability company (LLC), or partnership, for example. Once the decision is made, the Student Attorney will draft the required formation documents and filings, such as articles of organization, bylaws, LLC certificates, operating agreements, and the like.
